1. Parties

This Seller Agreement ("Agreement") is between you ("Seller", "you") and Prilix Labs (Sole Proprietorship), operating the Indi Andaz marketplace ("Platform"), owned and operated by Pritam Nandi. By registering as a seller or using the seller portal at seller.indiandaz.com, you agree to these terms.

2. Seller Eligibility

  • You must be at least 18 years of age
  • You must hold a valid PAN linked to your bank account
  • You must provide a valid Indian bank account for payouts
  • GST registration is mandatory if your turnover exceeds thresholds under GST law
  • You must comply with all applicable Indian laws for your product category

3. Onboarding & KYC

To sell on Indi Andaz, you must complete Know Your Customer (KYC) verification by submitting:

  • PAN card
  • Aadhaar (for identity verification)
  • Bank account details (account number, IFSC, cancelled cheque or bank statement)
  • GST certificate (if GST registered)

The Platform may reject or suspend applications with incomplete, false, or unverifiable documentation.

4. Seller Obligations

  • Provide accurate product listings — correct images, descriptions, prices, MRP, weight, and dimensions
  • Do not list counterfeit, replica, or prohibited goods
  • Dispatch orders within the agreed SLA (default: 2 business days of order confirmation)
  • Issue valid GST tax invoices for each order if you are GST registered
  • Comply with the Legal Metrology Act, 2009 — display correct weight, MRP labelling, and pack size on products and invoices
  • Respond to buyer queries and return/refund requests promptly
  • Maintain adequate inventory and update stock levels on the Platform

5. Prohibited Products

Sellers must not list or sell:

  • Weapons, ammunition, explosives, or hazardous materials
  • Illegal drugs, narcotics, or controlled substances
  • Counterfeit or pirated goods
  • Adult content or obscene material
  • Items banned or restricted under Indian law or Platform policy
  • Stolen goods or items infringing third-party intellectual property

6. Commission & Payments

  • Platform commission: 5% per successful transaction (unless a different rate is agreed in writing)
  • Payout cycle: weekly transfers to your registered bank account after order delivery and return window, subject to minimum payout thresholds
  • Buyer payments are processed via PayU. Seller payouts are disbursed through the Platform's payment infrastructure
  • The Platform may deduct commission, shipping charges, return costs, and applicable taxes before releasing payouts

7. Returns & Disputes

  • Sellers are responsible for wrong, defective, or misdescribed items shipped from their inventory
  • The Platform may debit your seller account or withhold payouts for refunds caused by seller fault
  • Buyer return policies on the Platform apply — see Refund Policy

8. Suspension & Termination

The Platform may suspend or terminate your seller account immediately for policy violations, fraudulent activity, repeated buyer complaints, KYC failures, or legal requirements. Upon termination, pending payouts are settled per applicable policy minus any outstanding debits. You may request account closure by contacting support@indiandaz.com.

9. Intellectual Property

You retain ownership of your product images, descriptions, and brand assets. By listing on the Platform, you grant Prilix Labs a non-exclusive, royalty-free licence to display, reproduce, and promote your listings on Indi Andaz and affiliated marketing channels. Platform branding, software, and design remain the property of Prilix Labs.

10. Indemnification

You agree to indemnify and hold harmless Prilix Labs, Pritam Nandi, and their officers from any claims, losses, or liabilities arising from your products, listings, tax obligations, intellectual property infringement, or violation of applicable law.

11. Governing Law & Jurisdiction

This Agreement is governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of the courts in West Bengal, India.

Seller use of Meta & automation

If you connect Facebook/Instagram/Messenger, you are responsible for your content and for complying with Meta Platform Terms, Community Standards, and the law. No spam or misleading automation.

Indi Andaz provides tooling; we do not control Meta's APIs. Buyer-facing marketplace terms are separate from these seller obligations.
